Mr. Mannish Ghia is a Fellow member of The Institute of Company Secretaries of India (ICSI) and a Commerce Graduate from the University of Mumbai. The enthusiastic and dynamic visionary, Mr. Ghia is a man of strong judgment and deep insight. He possesses significant experience of more than 21 years in the field of Advisory and Consultancy Services under Corporate Laws comprising of Companies Act, Securities Laws, Listing Guidelines and Regulations, NBFC Guidelines, and SEBI Rules & Regulations. Always at the forefront with his prudent decision-making, keen vision & unmatched knowledge base, Mr. Ghia has been instrumental in spearheading numerous Public Offerings, Mergers & Acquisitions, Rights Issues, Bonus Issues, Preferential Allotment, and Takeover of Listed Companies, etc.Mr. Ghia has been the driving force behind MG Consulting Group and will continue to galvanize the Group’s involvement in the corporate, financial & social sectors, doing his bit in a pursuit of, ‘Inclusive Collective Progress,’ at its crux.

Mr. Raghavendra Shanbhag, a Commerce Graduate from Mumbai University, has a natural flair to create business opportunities within the market, be it with new clients or with our existing clients. He possesses requisite knowledge in the field of Accounting, Finance & Banking. Having about more than 15 years of experience in Company Law related Compliances, Shareholder and Private Equity Agreements, Art Funds and other Legal & Secretarial acquaintance provides him an edge in the C.S. Industry. An expert in the field of labour law, he delivers within the timelines to utmost satisfaction of the clients. He also contributes to business operations on day to day basis and ensures superior quality working in routine and specialized domain compliances.

Mr. Harish Bora is an Associate Member of The Institute of Company Secretaries of India (ICSI) and Commerce & Law Graduate from University of Mumbai. He has more than 15 years of experience in Corporate Laws, Due diligence, Initial Public Issues, Rights Issues, Private placements, QIPs, FCCBs, GDRs, Takeover of Listed & Unlisted Companies, Merger & De-merger of Listed & Unlisted Companies, Prevention of Oppression and Mismanagement, Dealing with Capital Market Intermediaries, Stock Exchanges, SEBI, ROC, RD, CLB (NCLT), Department of Company Affairs, Official Liquidator etc.Under the able leadership of Mr. Harish Bora and his dedicated Team, we provide full-fledged coordination services for compliance activities bridging gap between various intermediaries, authorities and the management.   These Large Size Public Issues include some names like Alkem Laboratories Limited, Metropolis Healthcare Limited, Sterling & Wilson and Nazara Technologies Limited. Mr. V. Shankar is a Fellow Member of The Institute of Company Secretaries of India (ICSI), qualified in December 1988. He is a Commerce Graduate from University of Delhi and has an overall 30 years of experience with 23 plus years in Corporates handling varied assignments; he has headed compliance domain and is well acquainted with requirements of Listed & Unlisted entities under various statutes. He has handled IPO, FPO, Mergers/ Demergers/Amalgamations, Buy-back of Shares, Substantial Acquisition of Shares and Takeover.

He currently is heading the Secretarial Audit & Due Diligence Team (Assurance Assignments) when the concept of secretarial audit was new and evolving. With his rich experience and deep insight of corporate compliances, he has been instrumental and spear headed in developing requisite systems and procedures necessary for methodical handling of varied and challenging audit and assurance assignments of firm.  A complete team man, he has an analytical ability and has a keen eye for details which is a sine-qua-non for all assignments.

Ms. Madhavi Lingayat is a Company Secretary from The Institute of Company Secretaries of India (ICSI) and is currently pursuing L.L.B. from University of Mumbai. She is an Associate member of ICSI since July, 2020 and possesses an overall 11 years of experience in field of handling regular Secretarial compliances of Private, Public (Unlisted) and LLP entities under various Corporate Laws and Rules and regulations. Her Expertise include ensuring timely compliances applicable to entities under Companies Act, 2013, and Limited Liability Partnership Act, 2008. Some major assignments she handled includes Compounding/Adjudication of offence under the Companies Act, 2013, Takeover of Non- Banking Financial Companies (NBFC), Conversion of LLPs to Private Companies and Shifting of Registered Offices across states. She was awarded by ICSI for her significant contribution on International Women’s Day Celebrations.

FAQ

  • Whether concept of proxy is relevant in respect of a general meeting wherein e-voting facility has been provided to the members.

    Proxy is a facility given to a member to exercise his voting rights in case the member is unable to attend and vote himself. The provision for electronic voting is a platform facilitating the members to vote on their own. Hence, any member who has not exercised his vote electronically, may attend and vote at the general meeting either personally or by appointing a proxy to attend and vote on his behalf. The concept of proxy is still relevant, though with limited applicability.

  • Whether advance taken from customers by real estate company on which no interest has been paid will be treated as advance or deposit as per the Companies Act, 2013?

    As per the Rule 2(xii) of the Companies (Acceptance of Deposits) Rules, 2014, any amount received in the course of, or for the purposes of the business of the company - as advance, accounted for in any manner whatsoever, received in connection with consideration for property under an agreement or arrangement is exempted from the definition of the Deposits but if such advance is not adjusted against the property in accordance with the terms of agreement or arrangement then it will be treated as deposit.

    Further, whether interest is charged or not is immaterial.

    Thus, advance taken from customers by real estate company shall not be considered as deposits. But if it is not adjusted against the property in accordance with the terms of agreement or arrangement, then it will be treated as deposit.

  • What is the preservation period of register of members and annual return under the companies Act, 2013?

    In terms of Rule 15 of the Companies (Management & Administration) Rules, 2014, the register of members along with the index shall be preserved permanently. Copies of annual returns prepared under section 92 and copies of all certificates and documents required to be annexed thereto shall be preserved for a period of eight years from the date of filing with the Registrar.

  • Is it mandatory for a company to keep its documents, records, registers, minutes, etc. in electronic form?

    According to Section 120, the documents, records, registers, minutes, etc. may be kept and inspected in electronic form. Rule 27 of Companies (Management and Administration) Rules, 2014 initially mandated every listed company or a company having not less than one thousand shareholders, debenture holders and other security holders to maintain its records, as required to be maintained under the Act or rules made there under, in electronic form. However, MCA has revised the rules namely the Companies (Management and Administration) Second Amendment Rules, 2014, and amended rule 27 as follows:   - in rule 27, in sub-rule (1) and in the Explanation, for the word "shall", the word "may" shall be substituted.   Therefore, the companies have now been given an option to maintain the records in electronic form.
